Referral Scheme - Rules of Engagement

Terms and Conditions for Elite Group Mobile Referral Scheme

1.1 “Referral” means the introduction by the Referrer of a business entity (“Referred Business”) to Elite by completing the official referral form with accurate contact details of that business, and Elite subsequently entering into a contract for mobile connections with that business.

1.2 “Connection” means each mobile service connection which is activated by the Referred Business under contract with Elite.

1.3 “Reward” means the gift voucher of £20 issued by Elite to the Referrer for each Connection activated by the Referred Business and meeting the conditions in clause 4.

1.4 “Eligible Referral” means a Referral which meets all the eligibility, exclusion and other criteria set out in this Agreement.

1.5 “Personal Data” has the meaning given in the UK General Data Protection Regulation (“UK GDPR”) and the Data Protection Act 2018.

1.6 “Scheme” means the referral scheme offered by Elite pursuant to this Agreement.

1.7 “Elite” means Elitetele.com plc t/a Elite Group, CRN: 33228824.

 2. Eligibility

2.1 The Scheme is open to (a) existing Elite business customers and (b) external participants, each aged 18 or over and based in the UK.

2.2 The scheme only applies to Referred Businesses who are not currently contracted with Elite at the time of the Referral.

3.1 To make a Referral, the Referrer must complete the official referral form provided by Elite with the accurate contact details of the Referred Business.

3.2 By submitting a Referral, the Referrer confirms they have obtained all necessary permissions to provide the contact details of the Referred Business to Elite.

3.3 After the Referral form is submitted, Elite will contact the Referred Business directly.

3.4 Elite shall determine in its discretion whether the Referral is an Eligible Referral (see clause 5).

 4. Reward Structure & Conditions

4.1 For each Connection activated by the Referred Business, the Referrer will receive a Reward of £20. The Reward amount will be capped at £2000 per referral deal unless approved by an Elite Director.

4.2 Rewards will be issued within 60 days of the relevant Connections going live (Connection Date) and provided those Connections have remained active for at least 30 days from the Connection Date.

4.3 Rewards are non-transferable and there is no cash alternative.

4.4 The Referrer is solely responsible for any tax or VAT implications arising from receipt of the Reward.

5.1 Referrals must be genuine business contacts. Self-referrals (i.e., referring one’s own business) or referrals within the same legal entity/company are not eligible.

5.2 Elite reserves the right, in its sole discretion, to reject any Referral which does not meet the qualifying criteria or which it reasonably considers to be improper or non-genuine.

5.3 Elite may amend, suspend or withdraw the Scheme at any time without prior notice.

 6. Data Protection & Privacy

6.1 The Referrer acknowledges and agrees that in making a Referral they may be providing Personal Data to Elite (i.e., names, business contact details of the Referred Business). Such submission constitutes processing of Personal Data under UK GDPR and the Data Protection Act 2018.

6.2 The Referrer warrants and agrees that:

(a) they have obtained all necessary consents (or other lawful basis) for the disclosure of the Referred Business’s contact details to Elite;

(b) they will comply with all applicable data protection laws, including but not limited to the UK GDPR and the Data Protection Act 2018.

6.3 Elite undertakes to process any Personal Data it receives from the Referrer in accordance with its Data Protection Policy and applicable law. Elite will implement appropriate technical and organisational measures to safeguard Personal Data.

6.4 If the Referrer becomes aware of any data breach or unauthorised disclosure in relation to Personal Data provided under this Scheme, the Referrer shall notify Elite without undue delay.

6.5 The Referrer agrees to cooperate with Elite in any investigation or regulatory enquiry relating to the processing of such Personal Data.

 7. Compliance with Laws

7.1 The Referrer and Elite each agree to comply with all applicable laws, regulations and codes, including without limitation the UK GDPR, the Data Protection Act 2018, the Bribery Act 2010 and the Competition Act 1998.

7.2 The Referrer confirms that they are not aware of, and will not offer, any other payments, incentives or rewards to the Referred Business that might conflict with the Scheme or applicable law.

 8. Term and Termination

8.1 This Agreement may be terminated by Elite at any time.

8.2 Termination of the Agreement shall not affect the Referrer’s right to receive any Reward earned prior to termination, provided the Referral remains an Eligible Referral and meets all conditions.

 9. Confidentiality

9.1 The parties shall keep confidential all non-public information received under or in connection with this Agreement and shall not disclose it except as required by law or with the other party’s prior written consent.

9.2 This clause survives termination of the Agreement.

 10. Limitation of Liability

10.1 To the maximum extent permitted by law, neither party shall be liable to the other for any indirect, special or consequential loss, or loss of profits, arising out of or in connection with this Agreement.

10.2 Elite’s total liability to the Referrer under or in connection with this Agreement shall be limited to the total amount of Rewards paid (or payable) to the Referrer.

 11. Governing Law and Jurisdiction

11.1 This Agreement is governed by the laws of England and Wales.

11.2 The parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

 12. Miscellaneous

12.1 Amendments. Elite may amend these terms from time to time. Continued participation in the Scheme after such changes will constitute acceptance.

12.2 Assignment. The Referrer may not assign or transfer any of their rights or obligations under this Agreement without Elite’s prior written consent. Elite may assign this Agreement to any affiliate or successor.

12.3 Entire Agreement. This Agreement constitutes the entire agreement between the parties in respect of the subject matter and supersedes all previous agreements, understandings or arrangements.

12.4 Notices. All notices under this Agreement shall be given in writing and delivered by email or post to the addresses notified by the parties.
